Service Framework Agreement

1. Parties

This Service Framework Agreement (the "Agreement") is concluded between COON TEKNOLOJİ LİMİTED ŞİRKETİ (ITOB OSB MAH. 10032 SOKAK NO:2-209, Menderes / İzmir, Türkiye; email: [email protected]) (the "Service Provider") on the one hand, and the natural or legal person using the Polpo Desk service (the "User") on the other.

The Service Provider and the User are each referred to as a "Party" and together as the "Parties".

2. Definitions

  • Service: the remote desktop access, support sessions and related software and web panel services offered under the Polpo Desk brand.
  • Client Software: the Polpo Desk application installed or run on the User's device.
  • Session: the end-to-end encrypted remote access connection established between two devices.
  • Plan: the paid or free subscription tier under which the Service is offered with specific features and limits.
  • Account: the personal or corporate user record the User accesses through authentication.

3. Subject of the Agreement

The subject of this Agreement is to set out the mutual rights and obligations of the Parties regarding the User's use of the Polpo Desk service provided by the Service Provider.

4. Scope and Provision of the Service

The Service enables the User to connect securely to remote devices, provide support, and share files/screens. Sessions are end-to-end encrypted using WebRTC DTLS-SRTP.

The Service Provider offers the Service "as is" on a best-efforts basis and reserves the right to improve, modify or gradually roll out features.

5. User Obligations

  • The User shall use the Service in compliance with applicable law, public order and general morality.
  • The User is responsible for the confidentiality of their account credentials and session access codes.
  • The User shall connect only to devices they are authorized to access and shall not engage in unauthorized access, malware distribution or activities infringing the rights of others.
  • The User shall not use the Service to reverse engineer it, impose excessive load, or circumvent security measures.

6. Fees and Plans

The Service may be offered in free and paid plans. Applicable fees, plan contents and limits are published on the web panel.

Paid plans are invoiced in advance according to the chosen period. The Service Provider may update prices upon reasonable prior notice; changes take effect at the end of the current period.

7. Intellectual Property Rights

All intellectual and industrial property rights in the Polpo Desk brand, software, source code, design and all components belong to the Service Provider. This Agreement grants the User only a non-transferable, non-exclusive and limited license to use, and does not imply any transfer of ownership.

8. Confidentiality

The Parties undertake to protect each other's trade secrets and confidential information obtained under the Agreement and to use them solely for the purpose of the Agreement. Because session content is end-to-end encrypted, the Service Provider cannot access session content.

9. Protection of Personal Data

Personal data is processed in accordance with Law No. 6698 on the Protection of Personal Data (KVKK) and applicable legislation. Details are provided in the Privacy Notice and the Explicit Consent text.

10. Service Level and Interruptions

The Service Provider makes reasonable efforts to maintain the continuity of the Service but does not guarantee uninterrupted or error-free operation. Temporary interruptions may occur due to planned maintenance, updates and unavoidable circumstances; prior notice is given where possible.

11. Limitation of Liability

The Service Provider shall not be liable for indirect, incidental, special or consequential damages, or for loss of data or profit. In any event, the Service Provider's total liability is limited to the fees paid by the User in the twelve months preceding the date of damage. This limitation applies subject to the mandatory provisions of applicable law.

12. Term and Termination

The Agreement takes effect when the User begins using the Service and remains in force until terminated by either Party. The User may terminate the Agreement at any time by closing their account. The Service Provider may suspend the Service or terminate the Agreement in the event of a material breach.

13. Force Majeure

Events beyond the reasonable control of the Parties, such as natural disaster, war, epidemic, cyber attack, infrastructure or communication outages, and decisions of public authorities, are deemed force majeure. During force majeure, the obligations of the affected Party are suspended.

14. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of İzmir have jurisdiction over disputes arising from the Agreement.

15. Entry into Force

This Agreement takes effect on the date the User begins using the Service or accepts it during registration. The Service Provider may update the terms of the Agreement; the current version becomes effective as soon as it is published on this page.
