Affiliate Program Terms

These Terms govern the rights and obligations between the Affiliate taking part in the Polpo Desk (polpodesk.com) affiliate program and the Company. They complement the Service Framework Agreement; matters not covered here are governed by that agreement.

1. Parties

Company:

Affiliate: A legal entity or sole proprietorship that has applied for the affiliate program through the panel with its company details and whose application has been approved by the Company.

Customer: An organization that signs up for Polpo Desk using the Affiliate's referral code or link.

The partnership does not create an employment, representation, agency, dealership or joint venture relationship between the Parties. The Affiliate may not enter into contracts or make commitments on behalf of the Company; the contractual and service relationship with the Customer remains with the Company.

2. Application and Approval

Applications are made from the Affiliate section of the panel while signed in with a Polpo Desk account. The application must contain complete and accurate information: company type, legal name, tax office and tax number, address, contact person and contact details, and the IBAN of the bank account to which payments will be made. The Affiliate notifies the Company of any changes to this information without delay.

The Company may approve or reject an application without giving reasons. Each user may submit one application; a rejected application can be corrected and resubmitted.

On approval, the Affiliate's commission rate and monthly statement day are set and shown in the Affiliate's panel; the rate may differ from one Affiliate to another. The Company may change the rate after giving prior notice by e-mail; the new rate applies only to commissions arising after the change.

3. Referrals

The Affiliate creates personal referral links (https://polpodesk.com/?ref=CODE) and codes in its panel; the first code is ready upon approval. The Affiliate can create up to 20 codes, label them and deactivate them.

• A new organization is linked to the Affiliate by the code entered in the referral code field of the signup form, or by the code filled in automatically when the visitor arrives via a link. A code coming from a link is kept in a cookie stored in the browser for 60 days.
• The link is established once, at signup, and is permanent; the Customer cannot add or change a code after signup. However, at the Affiliate's request, the Company may manually link to the Affiliate an account that signed up without a code, is not linked to another Affiliate and has not made any payment yet; in that case commission arises only from payments made after the link. The Company may remove a link established by mistake as long as no commission has arisen from it.
• A Customer can be linked to only one Affiliate.
• The Affiliate may not refer itself or its own organization; such signups are not linked to the Affiliate.
• A signup made with an invalid or inactive code is not linked to the Affiliate; the signup itself is completed as usual.

4. Commission

Commission is calculated on the VAT-exclusive amount of the order actually paid by a Customer linked to the Affiliate, at the rate in effect at the time of payment and in the currency of the order. As long as the Customer keeps paying, a commission arises for every paid order, including renewals; no more than one commission arises per order.

No commission arises for:

• Free plans and orders placed with a 100% discount coupon.
• Unpaid renewal orders.
• Members who never move to a paid plan.

Commissions are included in a statement only after they have been reviewed and approved by the Company. Commissions on orders that are refunded, cancelled or found to be fraudulent may be rejected or deducted from later earnings. The Company's records are authoritative for referral and commission calculations.

5. Statements and Payment

Each month on the Affiliate's statement day (Türkiye time), approved commissions not yet included in a statement are combined into that period's statement, and the Affiliate is notified by e-mail. No statement is issued for an Affiliate with no approved commissions. Amounts are shown separately for each currency.

The Affiliate issues an invoice for the statement amount and uploads it in the panel (PDF, JPG, PNG or e-invoice XML; up to 10 MB). Statement amounts are VAT-exclusive earnings; where required by law, the Affiliate adds VAT on its invoice.

The Company reviews the invoice; once it is found in order, the Company pays by bank transfer to the Affiliate's registered IBAN, marks the statement as paid and notifies the Affiliate by e-mail. An incorrect or incomplete invoice may be sent back to the Affiliate with an explanatory note; in that case the Affiliate uploads a corrected invoice.

The Affiliate is solely responsible for its tax, invoicing and other legal obligations relating to its earnings.

6. Promotion Rules

When promoting Polpo Desk, the Affiliate follows these rules:

• No spam, unsolicited bulk messages or unauthorized commercial messages.
• No misleading or untrue statements about the product, prices, features or security; no promises of discounts, coupons or campaigns that the Company does not offer.
• The Affiliate may not present itself as Polpo Desk, COON or the Company, or as their authorized representative.
• Without the Company's written permission, the "Polpo Desk" brand or similar terms may not be used as keywords in paid search ads or included in domain names.
• The logo and brand assets are used only in the form provided by the Company and without modification.
• Promotional activities comply with applicable law (including rules on commercial messages and personal data protection) and with the rules of the platforms used.

7. Privacy and Personal Data

In its panel, the Affiliate sees referred Customers only under a masked name (e.g. Ab****), together with the signup date, the code used, the status and commission information; Customers' e-mail addresses and contact details are not shared with the Affiliate.

The referral cookie is used only to determine which Affiliate a signup belongs to. IP addresses are not stored when link clicks are counted.

The company, contact and bank details the Affiliate shares in its application and during the program are processed in accordance with the Privacy Notice for the purposes of running the program, making payments and fulfilling legal obligations.

The Affiliate is the data controller for any personal data it collects itself during its promotional activities and must comply with the applicable legislation.

8. Suspension and Termination

The Company may suspend or terminate the partnership in the event of a breach of these Terms, fraud or abuse. No new referrals or commissions arise while the partnership is suspended.

Either Party may terminate the partnership by notifying the other Party by e-mail. No new commissions arise after termination.

On termination, amounts earned without breach that have been approved and included in a statement are paid after the invoice has been uploaded and reviewed. Amounts relating to transactions involving a breach or fraud are not paid.

9. Changes

The Company may update these Terms. The current version is published on this page and material changes are notified to the Affiliate by e-mail. Changes apply to commissions arising after their publication; by continuing in the program, the Affiliate accepts the current Terms.

10. Dispute Resolution

These Terms are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of İzmir have jurisdiction over disputes arising from these Terms.

11. Entry into Force

These Terms enter into force when the Affiliate accepts them during the application and the Company approves the application, and remain in effect until the partnership ends. For questions, please use our Contact page or write to [email protected].
